LISTRIVER BUSINESS DATA API
SUBSCRIPTION AGREEMENT (END USER LICENSE AGREEMENT)

Effective November 2, 2026

This Subscription Agreement ("Agreement") is between Snake River Enterprises LLC, doing business as ListRiver ("ListRiver," "we," "us"), and the business that subscribes to the ListRiver Business Data API through AWS Marketplace ("you"). By subscribing, you agree to this Agreement on behalf of that business and confirm you are authorized to do so.


1. THE SERVICE

1.1 The "Service" is access to the ListRiver Business Data API at https://listriver.com/api/data.ashx, which returns records of U.S. businesses compiled from public state business registry records and other sources (the "Data"). The API is described at https://listriver.com/api-docs.

1.2 Your plan (the pricing dimension you buy in AWS Marketplace) sets how many records you may retrieve each calendar month (the "Monthly Allowance"). Every record returned counts against it, including repeat retrievals of the same business. The Monthly Allowance resets at 00:00 UTC on the first day of each month. Unused records do not carry over.

1.3 We may improve, change or add to the API and the Data. We will not remove a documented field or call during a paid term without at least 30 days' notice by email, unless we must do so to comply with law or a data source's terms.

1.4 We aim to keep the Service available at all times but do not guarantee uninterrupted availability. We may pause it for maintenance.


2. YOUR API KEY

2.1 After you subscribe, you create an API key on our setup page. Keep it confidential. You are responsible for all use of the Service under your key.

2.2 If your key may have been exposed, replace it at once through "Set up your account" on your subscription in AWS Marketplace, or tell us at support@listriver.com.


3. LICENSE TO USE THE DATA

3.1 While your subscription is active, and subject to this Agreement, we grant you a non-exclusive, non-transferable, non-sublicensable license to use Data you retrieve through the Service for your own internal business purposes, including marketing to and communicating with the businesses in it, verifying and enriching your own business records, and analysis. You may also use the Data to carry out marketing or outreach on behalf of your own clients, as long as you do not give a client the Data itself or any substantial part of it.

3.2 Unless you hold a separate written resale license from ListRiver, you may not:
  (a) resell, sublicense, publish, share or give away the Data, in whole or in substantial part, or use it to build or improve a data product or service that competes with ListRiver;
  (b) use the Data for any purpose covered by the Fair Credit Reporting Act, including as a factor in decisions about credit, insurance, employment or housing eligibility;
  (c) use the Data to harass anyone, or for any unlawful, deceptive or fraudulent purpose;
  (d) share your API key with anyone outside your business, or use more than one subscription or key to get around your Monthly Allowance; or
  (e) probe, scan, overload or interfere with the Service, or access it other than through the documented API.

3.3 After your subscription ends you may keep using Data you retrieved while it was active, for the purposes and under the restrictions in this Section 3. Sections 3.2 and 3.3 survive the end of this Agreement.


4. YOUR RESPONSIBILITY FOR HOW YOU USE THE DATA

You are solely responsible for complying with all laws that apply to your use of the Data, including the CAN-SPAM Act, the Telephone Consumer Protection Act and do-not-call rules, and state privacy and marketing laws. Where a record contains a person's name or contact details (for example, a registered agent), you will treat it as business contact information only and honor any opt-out request you receive.


5. FEES, BILLING, RENEWAL AND CANCELLATION

5.1 Fees are the prices for your plan shown in AWS Marketplace, or in a private offer you accept there. AWS bills and collects them on our behalf on your AWS invoice. Taxes are as AWS determines them.

5.2 Renewal, upgrades, downgrades and cancellation are handled in AWS Marketplace under the terms of your AWS Marketplace subscription. When your subscription ends, your API key stops working.

5.3 Fees are not refundable except as required by law or as provided by AWS Marketplace's policies. If the Service is unavailable for a significant part of a month because of a problem on our side, contact us and we will work with you on a fair remedy, which may include a credit or a refund through AWS.


6. SUSPENSION AND TERMINATION

6.1 We may suspend your access if (a) your use breaks Section 3 or 4, (b) your use threatens the security or operation of the Service, or (c) AWS notifies us of fraud, abuse or account compromise affecting your subscription. We will tell you promptly and restore access once the issue is resolved.

6.2 Either party may end this Agreement if the other materially breaches it and does not cure the breach within 15 days of written notice. This Agreement otherwise ends when your AWS Marketplace subscription ends.


7. DATA ACCURACY AND CORRECTIONS

The Data comes largely from public records, which change constantly and may contain errors. We do not warrant that the Data is complete, accurate or current. If information about your own business is wrong, tell us at support@listriver.com and we will review and correct it.


8. INTELLECTUAL PROPERTY

The Service, the API, our software, and our compilation, formatting and enhancement of the Data are owned by ListRiver and protected by law. Except for the license in Section 3, no rights are granted to you. "ListRiver" is our trademark; you may not use it in a way that suggests we endorse or are affiliated with you.


9. DISCLAIMER OF WARRANTIES

THE SERVICE AND THE DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.


10. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE. EACH PARTY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THIS AGREEMENT IS LIMITED TO THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO YOUR BREACH OF SECTION 3 OR YOUR OBLIGATIONS UNDER SECTION 11.


11. INDEMNIFICATION

You will defend and indemnify ListRiver against claims, losses and expenses (including reasonable attorneys' fees) by third parties arising from your use of the Data, your breach of Section 3 or 4, or your violation of any law.


12. GENERAL

12.1 Governing law. This Agreement is governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Wyoming, and both parties consent to their jurisdiction.

12.2 Changes. We may update this Agreement for future terms. The version in effect when your subscription starts or renews applies to that term. We will email material changes to the address you gave at setup at least 30 days before they apply to you.

12.3 Notices. We send notices to the email address you gave at setup. Send notices to us at support@listriver.com.

12.4 Entire agreement. This Agreement, together with any private-offer terms you accept in AWS Marketplace, is the entire agreement between us about the Service. If the two conflict, the private-offer terms control. If any part of this Agreement is unenforceable, the rest stays in effect. You may not assign this Agreement without our consent, except to a successor of your whole business.

12.5 AWS. AWS is not a party to this Agreement and is not responsible for the Service or the Data.
