Partner Program Terms

These terms are an agreement between you (the "Partner") and Snake River Enterprises LLC ("ListRiver", "we"). By joining the ListRiver partner program you agree to them, along with our Terms of Service and Privacy Policy.

1. What you earn

You earn a commission on the payments we actually collect from buyers you referred (each a "Qualified Sale"): purchases of the ListRiver full database, the New Business File, New Business Monthly subscriptions and custom list orders. For a New Business Monthly subscription, you earn on the first month and on each later month as it is collected, for as long as the subscriber keeps paying. For list orders paid with Pay-in-6, you earn on the down payment and on each installment as it is collected; payments a buyer never makes earn nothing. Commissions exclude taxes and any amount we refund. Your rate (currently 25% for new partners) is shown on your dashboard; if we change it, the new rate applies to payments collected after the change.

2. How referrals are credited

  • A referral is credited when a visitor arrives through your link (your short link or any ListRiver page with your ?ref= code) and, within 90 days and from the same browser, requests the full database, the New Business File or a New Business Monthly subscription, or places a custom list order.
  • If a visitor used more than one partner's link, the most recent link gets the credit.
  • We may credit a sale to you by hand when you clearly introduced the buyer, for example by email, and the buyer confirms it. Our records decide all credit questions.
  • Purchases by you, your business, or anyone buying on your behalf are not Qualified Sales.

3. When you get paid

  • Each commission is held for 30 days after the sale, while the buyer can still request a refund. After that it is due.
  • We pay due commissions at least once a month, by PayPal (to the email address of your PayPal account) or Cash App (to your $cashtag), as shown on your dashboard. You are responsible for keeping those details correct.
  • If a payment is refunded or charged back before we pay you, its commission is cancelled. If it is refunded after we paid you, we may deduct that amount from your future commissions.
  • You give us an IRS Form W-9, signed electronically, when you apply and each time you change your details. You agree to sign it electronically; we keep every signed version, and you can view or print yours from your dashboard at any time. We report commissions on Form 1099 as the law requires. If you certify that you are subject to backup withholding, we withhold from your commissions as the IRS requires. You are responsible for your own taxes. Your tax details are stored encrypted and used only for tax reporting and payouts.

4. How you may promote ListRiver

You may share your link with people you know, with your clients, and with audiences that chose to hear from you (your website, newsletter, posts or ads). You agree that you will not:

  • Send unsolicited commercial email, use purchased or scraped email lists, or send any email that does not comply with the CAN-SPAM Act.
  • Send text messages, make auto-dialed or prerecorded calls, or call numbers on the National Do Not Call Registry, in violation of the Telephone Consumer Protection Act or similar laws.
  • Quote any price other than ours, or offer a discount, rebate, or part of your commission to a buyer.
  • Make false or misleading statements about the data, its coverage or its accuracy, or promise results.
  • Present yourself as ListRiver, as our employee or agent, or use our name or logo in a way that suggests that.
  • Bid on "ListRiver" or close variations in paid search ads, or register domain names or social accounts that contain our name.
  • Resell, share or give away ListRiver data yourself.

Breaking these rules lets us suspend your link immediately and cancel any unpaid commissions on affected sales. You will indemnify us against claims that arise from how you promoted ListRiver.

5. Applications and changes

The program is open to U.S. individuals and businesses at least 18 years old. Every application is reviewed, and we may decline any application. You choose your link when you apply; it can't be changed once approved. You can update your details at any time; changes are reviewed before your next payout, and your link keeps working while we review.

6. Your relationship with us

You are an independent contractor, not our employee, agent or partner in the legal sense. You have no authority to make promises or sign anything on our behalf. You pay your own costs.

7. Changes and ending the program

We may change these terms or the commission rate for future sales, or end the program, by posting the change here and emailing you. Commissions already earned under the earlier terms are still paid. You may leave at any time by telling us. Either of us may end your participation at any time; due commissions on Qualified Sales made before then, and not affected by a rule violation, are still paid.

8. Limits

Our total liability to you under the program is limited to the commissions owed to you. We are not liable for lost profits or indirect damages, or for any period when tracking or the site is unavailable. These terms are governed by the laws of the State of Wyoming.
